This End User License Agreement (“Agreement”) is between Paradigm Geospatial, Inc. (“Paradigm”, “we”, “us”) and the person or organization that installs or uses Paradigm Geospatial software (“you”). If you accept this Agreement for an organization, you confirm that you have authority to bind it.
By installing, activating or using the Software, you agree to this Agreement. If you do not agree, do not install or use the Software.
1. Definitions
- Software means the Paradigm Geospatial desktop applications (including Surveyor, CAD, Puck, Collector, Pg-GPS and the Launcher), their documentation, and any Updates we provide.
- License means your right to use specific Software, as recorded in a License File that we issue and that you activate in the Launcher.
- License Type means Monthly, Yearly, Perpetual, Founders or Trial, as stated in your License File and order.
- Launch Apps means the applications in the Paradigm Geospatial launch release, listed on our pricing page at the time of your Founders purchase.
- Updates means quality and feature updates to the Software that we make generally available.
- Your Data means the projects, scans, drawings, documents and other data you create, import or process with the Software.
2. License grant
Subject to this Agreement and payment of any applicable fees, we grant you a non-exclusive, non-transferable license to install and use the Software covered by your License File, for your internal business purposes, on the number of devices or users your License File allows:
- Monthly and Yearly licenses last for the paid subscription term and end when the subscription ends.
- Perpetual licenses have no end date for the app purchased.
- Founders licenses are perpetual licenses to every Launch App. Applications released after the launch release are not included.
- Trial licenses give you the full, unrestricted app for 15 days from issue. A trial does not renew or convert into a paid license.
The Launcher is provided free of charge with every installation and is licensed under this Agreement.
3. License Files and activation
The Software checks your License File on your machine. You agree not to share, alter or copy a License File beyond what your License allows, and not to bypass, disable or interfere with license checks. A License File may be bound to a specific computer. Renaming the computer, reinstalling Windows or moving the License to another computer requires a new License File, which we provide on request for the seats you hold. We may revoke a License File that was issued in error, refunded, charged back, or used in breach of this Agreement.
4. Updates
Every License Type includes the Updates we release for the licensed apps while the License is in effect. We decide the content and timing of Updates. Some Updates may require a newer operating system, driver or hardware.
5. Restrictions
You may not, and may not allow anyone else to:
- copy the Software except for installation and backup as your License allows;
- reverse engineer, decompile or disassemble the Software, except to the extent the law or a third-party license that applies to a component (such as the LGPL) expressly permits it;
- rent, lease, lend, resell, or offer the Software as a hosted or time-shared service to third parties;
- remove or alter any proprietary notices; or
- use the Software in violation of applicable law, including export control and sanctions laws.
6. Your Data
Your Data remains yours. The Software runs on your own computers, and we do not receive Your Data unless you send it to us (for example, for support) or you turn on a feature that sends it to a third-party service, as described in section 7.
7. AI features and third-party services
Some optional features connect to third-party services:
- Anthropic. Puck’s AI extraction and Claude OCR send the page images or regions you select, and Surveyor’s Site Extraction sends rendered views of the point cloud with the work-area location, to Anthropic, using an Anthropic API key that you provide. They run only when you turn them on or provide a key for them.
- Public data and map services. Pg-GPS shows map tiles from CARTO and downloads reference data from NOAA, IGS, UNAVCO and USGS when you use those functions.
Your use of a third-party service is governed by that provider’s terms, and you are responsible for having the right to send your content to it. We are not responsible for third-party services. Surveyor’s built-in assistant runs on your own machine and sends nothing.
8. Professional responsibility
The Software is a tool that assists survey, mapping, engineering and construction work. It does not replace professional judgment. You are responsible for checking every result before you rely on it, including measurements, registrations, extracted linework and points, classifications, COGO closures, GNSS solutions and any feature produced by an AI-assisted function, and for any deliverable you certify, sign or seal.
9. Third-party components
The Software includes third-party and open-source components that are licensed under their own terms, including components under the GNU Lesser General Public License (such as Open CASCADE, GEOS and libheif), fonts under the GNU General Public License, the Gemma language model weights under their own license, and components from Microsoft (WebView2, DirectML and the Visual C++ runtime), Electron and Chromium. Those terms are listed in the notices provided with the Software and govern those components. Where a license requires it, we will provide the corresponding source code on request. Nothing in this Agreement limits your rights under those licenses, including any right to modify and relink components licensed under the LGPL.
10. Warranty
For paid Licenses, we warrant for [30] days from purchase that the Software will perform substantially as described in its documentation. If it does not, your remedy is that we will, at our option, correct the problem or refund the fees you paid for the affected License. Trial licenses are provided “as is”.
EXCEPT AS STATED IN THIS SECTION, THE SOFTWARE IS PROVIDED “AS IS” AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
11. Limitation of liability
TO THE EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA. OUR TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE FEES YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
12. Term and termination
This Agreement lasts as long as you hold a License. It ends automatically if you breach it and do not cure the breach within 30 days of notice. When a License ends, you must stop using the Software it covers. Sections 5 to 13 survive termination.
13. General
- Export. You will comply with US export control and sanctions laws when using or moving the Software.
- US government users. The Software is “commercial computer software” provided with only the rights in this Agreement.
- Governing law. This Agreement is governed by the laws of [State], excluding its conflict-of-law rules. The courts of [County, State] have exclusive jurisdiction.
- Entire agreement. This Agreement, your order and the Terms of Sale are the entire agreement about the Software. If a provision is unenforceable, the rest remains in effect.
- Changes. We may update this Agreement for future versions of the Software. The version you accepted continues to apply to the version you received.
- Contact. Questions about this Agreement: [legal@pg-core.com].
